Terms of Service

1. Acceptance of Terms

By accessing and using the SafePass platform ("Service"), operated by SafePass Global LLC ("Company", "we", "us"), you agree to be legally bound by these Terms of Service. If you do not agree to these terms, you are prohibited from using our Service.

2. Platform Nature: Non-Custodial Verification Venue

Our service strictly facilitates the secure linking of digital assets (tickets) between verified providers and buyers. All financial agreements and settlements occur entirely off-platform between the respective parties.

3. The Zero-Upfront Payment Protocol

To protect consumers, SafePass enforces a strict "Verify First, Pay Later" protocol:

• Buyer Obligation: Buyers must NOT send funds to any provider prior to receiving and verifying the digital ticket inside the official theme park application. Payment is only due upon physical validation at the venue gates.
• Provider Obligation: Providers are strictly prohibited from soliciting deposits, partial payments, or full payments before the buyer has successfully accessed the park.
• Violation Consequence: Any attempt to circumvent this protocol will result in an immediate, permanent ban and potential reporting to relevant fraud prevention authorities.

4. Non-Affiliation and Intellectual Property

SafePass Global LLC operates as a 100% independent secondary marketplace. We are NOT affiliated with, endorsed by, sponsored by, or officially connected to any theme park, amusement park, entertainment corporation, or their subsidiaries. All trademarks, service marks, logos, and trade names mentioned on our platform are the property of their respective legal owners.

5. User Accountability and Disputes

Because SafePass does not process financial transactions, we cannot issue refunds, initiate chargebacks, or guarantee payment collections. By using the platform, you acknowledge that:

• If a buyer successfully enters the park and refuses to pay the agreed-upon amount via off-platform methods, SafePass will ban the buyer and may supply the provider with the buyer's registration details to pursue legal debt collection.
• We assume absolutely zero liability for funds lost due to users bypassing our Zero-Upfront Payment Protocol.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall SafePass Global LLC, its directors, employees, or agents, be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, loss of profits, data, goodwill, or other intangible losses resulting from (i) your access to or inability to use the Service; (ii) any conduct or content of any third party (buyer or provider) on the Service; and (iii) any ticket validation or entry issues at the physical venue gates.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
